Welcome to Dispatch360. These Terms of Service ("Terms") govern your access to and use of the Dispatch360 platform and related services operated by SKEYEWATCH, INC., a Florida Profit Corporation ("Company," "we," "us," or "our"). By accessing or using our website or services, you agree to be bound by these Terms.
These Terms are in addition to any Software Licensing Agreement (EULA) entered into between you and SKEYEWATCH, INC. for Dispatch360 software. The EULA is available at End User License Agreement.
1. Acceptance of Terms
By accessing or using the Dispatch360 platform, website, mobile applications, or any related services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.
If you are using our services on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.
2. Website Usage
You agree to use the Dispatch360 website and platform only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the platform in any way that violates applicable federal, state, or local law
- Attempt to gain unauthorized access to any part of the platform or its related systems
- Transmit any malicious code, viruses, or harmful software
- Interfere with or disrupt the integrity or performance of the platform
- Reverse engineer, decompile, or disassemble any part of the software
- Use the platform to compete with SKEYEWATCH, INC. or its products
3. Products and Services
Dispatch360 provides a cloud-based dispatch management platform designed for concrete, aggregate, and asphalt fleets. Our services include but are not limited to fleet tracking, order management, e-ticketing, customer portal, driver applications, and related hardware deployed as part of a Dispatch360 installation.
We reserve the right to modify, suspend, or discontinue any aspect of the platform at any time, with or without notice. We will make reasonable efforts to notify active subscribers of material changes.
4. Payment Terms
If you subscribe to Dispatch360 services, you agree to pay all fees associated with your selected plan. Payment terms, including pricing, billing cycles, and late payment penalties, are detailed in your service agreement and the End User License Agreement (EULA).
- All fees are quoted in U.S. dollars unless otherwise stated
- Payments are due on the date specified in your invoice
- Late payments may be subject to interest charges as described in your EULA
- We reserve the right to suspend service for accounts with overdue balances
5. Intellectual Property
All content, features, and functionality of the Dispatch360 platform — including but not limited to software, text, graphics, logos, icons, and trademarks — are the property of SKEYEWATCH, INC. and are protected by United States and international copyright, trademark, and intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of our platform or its content without our prior written consent.
6. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SKEYEWATCH, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to, use of, or inability to use the platform
- Any unauthorized access to or use of our servers or your personal information
- Any interruption or cessation of transmission to or from the platform
- Any bugs, viruses, or other harmful code that may be transmitted through the platform
7. Indemnification
You agree to indemnify, defend, and hold harmless SKEYEWATCH, INC., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the platform or your violation of these Terms.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Hernando County, Florida.
9. Dispute Resolution
Any dispute arising out of or relating to these Terms or the use of the Dispatch360 platform shall first be resolved through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Hernando County, Florida.
10. Changes to Terms
We reserve the right to modify these Terms at any time. When we do, we will revise the "Effective Date" at the top of this page. Your continued use of the platform after changes are posted constitutes your acceptance of the modified Terms.
For material changes, we will make reasonable efforts to provide advance notice through the platform, email, or other appropriate channels.
